ElectrifiedGrid™ Acceptable Use Policy

This Acceptable Use Policy (the “AUP”) outlines the acceptable use of and access by you (the “User”) to the ElectrifiedGrid platform (the “Services”) provided by Deloitte and its subcontractors to its clients (each a “Client”), who has granted User access to the Services. By accessing or using the Services, the User agrees to comply with the terms of this AUP. Violations of this AUP, or authorizing or assisting others to violate it, may result in the suspension or termination of the User’s access to the Services.

1. Compliance with Laws, Regulations, and Codes Users must not use the Services to transmit, distribute, or store material in any manner that: (i) violates any local, state, national, foreign, or international statute, regulation, rule, order, treaty, or other law (collectively “Laws”); or (ii) breaches the terms of this AUP.

2. Offensive Content Users must not use the Services to transmit, distribute, or store material that: (i) is abusive, deceptive, pornographic, obscene, defamatory, slanderous, offensive, or otherwise inappropriate; (ii) violates, encroaches or infringes the rights of others, including but not limited to privacy, intellectual property, and proprietary rights; (iii) promotes or induces illegal activity; (iv) stalks, harasses, or harms anyone, including minors; or (v) impersonates any person or entity, or misrepresents the User’s or the Client’s affiliation with any person or entity.

3. Security and Protection Users must not use the Services to: (i) modify, alter, tamper with, repair, or create derivative works of any software included in the Services; (ii) reverse engineer, disassemble, or decompile the Services or any software or infrastructure included in the Services, except as allowed by mandatory applicable Law; (iii) access or use the Services in a manner intended to avoid incurring fees or exceeding usage limits or quotas; (iv) interfere with or adversely affect the Services or the use of the Services by other users; (v) use any high volume automated means (including robots, spiders, scripts, or similar data gathering or extraction methods) to access the Services or any other systems connected to the Services; (vi) connect to any users, hosts, or networks without permission, including but not limited to:

  • Monitor or crawl a system in a manner that impairs or disrupts the system;
  • Conduct denial of service attacks;
  • Intentionally interfere with the proper functioning of any system, including deliberate attempts to overload a system;
  • Operate network services like open proxies, open mail relays, or open recursive domain name servers;
  • Use manual or electronic means to avoid any use limitations placed on a system, such as access and storage restrictions;

(vii) distribute, publish, send, or facilitate unsolicited mass emailings, promotions, advertising, or solicitations, including commercial advertising and informational announcements; or (viii) alter or obscure mail headers or assume a sender's identity without the sender's explicit permission.

4. Monitoring and Enforcement Deloitte is not responsible for any material or information, other than that provided by Deloitte, created, stored, maintained, transmitted, or accessible on or through the Services. Deloitte is not obligated to monitor or exercise editorial control over such material. While not obligated to perform investigations, Deloitte may: (i) investigate violations of this AUP or misuse of the Services; (ii) investigate and help prevent security threats, fraud, or other illegal, malicious, or inappropriate activity; (iii) remove, disable access to, or modify any material or resource that Deloitte believes violates this AUP; or (iv) suspend or terminate provision of Services to Users for uses that violate this AUP.

Deloitte may report any activity that it suspects violates Laws to appropriate law enforcement officials, regulators, or other appropriate third parties. This reporting may include disclosing appropriate User information. Deloitte may also cooperate with law enforcement agencies, regulators, or other third parties to assist with the investigation and prosecution of illegal conduct by providing network and systems information related to alleged violations of this AUP. Nothing in this AUP shall limit in any way Deloitte's rights and remedies at law or in equity that may otherwise be available.

5. Modifications to the AUP Deloitte may, in its sole discretion, modify this AUP from time to time. Deloitte will post notice of such changes on www.ElectrifiedGrid.com/be/aup. If a User objects to any changes, the User’s sole recourse is to cease using the Services. Continued use of the Services following notice of any changes indicates the User’s acknowledgment of such changes and agreement to be bound by the terms and conditions of the modified AUP.
